1. Acceptance of Terms

1.1 WELCOME TO http://www.drilling4oil/ SERVICE (the "SERVICE"). The following sets forth the terms and conditions of the Www.drilling4oil.com Membership Agreement (this "Agreement") between you and Drilling4oil.com . ("www.drilling4oil.com") under which drilling4oil.com offers you access to the Service through the web site identified by the uniform resource locator www.drilling4oil.com (the "Site"). Use of the Service indicates that you accept the terms and conditions set forth below. If you do not accept all of the terms and conditions, please do not use the Service.
BY COMPLETING THE REGISTRATION PROCESS AND CLICKING THE "I AGREE" BUTTON", YOU ARE INDICATING YOUR CONSENT TO BE BOUND BY THIS AGREEMENT, DRILLING4OIL.COM'S TERMS OF USE AGREEMENT AND DRILLING4OIL.COM'S PRIVACY POLICY WHICH ARE INCORPORATED HEREIN BY REFERENCE (COLLECTIVELY REFERRED TO AS THE www.drilling4oil.com terms of use/).
Terms not defined in this Agreement shall bear the same meaning as that contained in the www.drilling4oil.com Terms of Use. The information on the drillin4oil.com website constitutes an invitation to you to offer details of your product advertisement, company profile, or a curriculum vitae to drilling4oil.com to be published or advertised on the site.
No contract shall arise between you and drilling4oil.com until Mr, M. Z. Koudsi General Director of Koudsi Consultancy and the owner of drilling4oil.com  has accepted in writing your offer, application form by proceeding with the publishing or the advertisement of your company profile or products.

1.2 www.drilling4oil.com/ may amend this Agreement at any time by posting the amended and restated Agreement on this Site. The amended and restated agreement shall be effective immediately upon posting. This Agreement was last amended on July 25th, 2005. Posting by www.drilling4oil.com of the amended and restated agreement and your continued use of the Service shall be deemed to be acceptance of the amended terms. This agreement may not otherwise be modified except in writing by an authorized officer of www.drilling4oil.com/.

2. The Services :

3. Free editorial submissions:
   Free editorial submissions are available, any serious publications or ideas  related to Safety and improving safe working conditions and procedure are welcome. Editorials will be published free of charge. Any new product or new technology related to the drilling industry can be promoted on this site free of charge , publications that need translated to Arabic,  a fixed fee will be charge only for the translations .
   Editorial submissions do not automatically guarantee placement in a newsletter.

2.2 Advertising Services against fixed fee
Services against fixed fee on  www.drilling4oil.com will be offered for fixed fee and specified time period specified on the page titled  "listing" on  http://www.drilling4oil.com/ " and will have the following core features (which may be added to or modified, or suspended for scheduled or unscheduled maintenance purposes, from time to time at the sole discretion of drilling4oil.com and notified to you)

2.3 Silver listing "for oil related companies " : ("Silver listing Member Benefits"):

2.7 www.drilling4oil.com may terminate all or part of the above Member Benefits at any time in its sole discretion. wwwidrilling4oil.com reserves the right to charge for the Service at any time in its sole discretion.

2.8 The Service shall not be available to individuals , companies, suppliers, a business entity non related to the oil industry. If you are either of the above, and you continue to register or have already registered for an Account, drilling4oil.com may suspend or terminate such Account at any time without notice to you.

2.9 www.drilling4oil.com shall issue a Member ID and Password to each Member to access the Service through such Member's Account. Each Member shall be solely responsible for maintaining the confidentiality of its Member ID and Password and for all activities that occur under the Member ID and Password. A set of Member ID and Password is unique to a single Account and no Member shall share, assign or permit the use of its Account, Member ID or Password to another person outside of the Member's business entity. Each Member acknowledges that sharing of its Account with other persons, or allowing multiple users outside of its business entity to use its Account (collectively, "multiple use"), will cause irreparable harm to www.drilling4oil.com and each Member shall indemnify www.drilling4oil.com against any loss or damages (including but not limited to loss of profits) suffered by www.drilling4oil.com as a result of such multiple use of an Account. Each Member hereby undertakes to notify www.drilling4oil.com immediately of any unauthorized use of its Account, Member ID or Password or any other breach of security. Each Member hereby agrees that www.drilling4oil.com shall not be liable for any loss or damages arising from the Member's failure to comply with this paragraph.

2.10 www.drilling4oil.com reserves the right to change, upgrade, modify, limit or suspend the Service or any of its related functionalities or applications at any time temporarily or permanently without prior notice. www.drilling4oil.com further reserves the right to introduce new features, functionalities or applications to the Service or to future versions of the Service. All new features, functionalities, applications, modifications, upgrades and alterations shall be governed by this Agreement, unless otherwise stated by http://www.drilling4oil.com/.

2.11 five working days will be allowed on receipt of listing, listing creative for your advertisement to be loaded on drilling4oil.com. listing will not be loaded until a signed order form and payment/purchase order has been received.

2.12 "Advertisement Contract Period" Listings are for one year at a time ( first time 6 month extra free of charge)

2.13 advertiser provides drilling4oil.com with maximum of 25 words meta descriptions of his field of expertise.

2.14 On line counter detailing the advertisement's clicks will be provided to all audience.

2.15 For the gold and platinum listing profile 4 free changes to the company profile listing is available per listing per year. Additional changes will cost euro 60,00 per change per listing per listing per category (in case of different information's per listing per category)

2.16 Advertising considerations taken into account are listed below.

1. Is the submitter a he drilling industry Network?
2. Is the requested advertising opportunity date available?
3. Does the advertiser content meet with all guidelines and best business practices and brand image?
4. Does the submission meet the advertising specifications?
5. Does the linking URL work?

3. Member Responsibilities

3.1 Each Member hereby represents, warrants and agrees to (a) provide true, accurate, current and complete information about itself and its business references as may be required by www.drilling4oil.com and (b) maintain and promptly amend all information to keep it true, accurate, current and complete. Each Member hereby grants an irrevocable, perpetual, worldwide and royalty-free, sublicensable (through multiple tiers) license to www.drilling4oil.com to display and use all information provided by such Member in accordance with the purposes set forth in this Agreement and to exercise the copyright, publicity, and database rights you have in such material or information, in any media now known or not currently known.

3.2 Each Member hereby represents, warrants and agrees that the use by such Member of the Service and the Site shall not:

1. contain fraudulent information or make fraudulent offers of items or involve the sale or attempted sale of counterfeit or stolen items or items whose sales and/or marketing is prohibited by applicable law, or otherwise promote other illegal activities;
2. be part of a scheme to defraud other Members or other users of the Site or for any other unlawful purpose;
3. infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity and privacy;
4. violate any applicable law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
5. contain information that is defamatory, libellous, unlawfully threatening or unlawfully harassing;
6. contain information that is obscene or contain or infer any pornography or sex-related merchandising or any other content or otherwise promotes sexually explicit materials or is otherwise harmful to minors;
7. promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
8. contain any material that constitutes unauthorized advertising or harassment (including but not limited to spamming), invades anyone's privacy or encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any law or regulation;
9. involve attempts to copy, reproduce, exploit or expropriate www.drilling4oil.com's various proprietary directories, databases and listings;
10. involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information; and
11. involve any scheme to undermine the integrity of the computer systems or networks used by Www.drilling4oil.com and/or any user of the Service and no Member shall attempt to gain unauthorized access to such computer systems or networks;
12. link directly or indirectly to or include descriptions of goods or services that are prohibited under this Agreement or the Www.drilling4oil.com Terms of Use; or otherwise create any liability for www.drilling4oil.com or its affiliates.
13. Generally, ordnance (military weaponry, ammunition and related parts) is not permitted, even if the user states that the item has been "de-militarised" as drilling4oil.com cannot confirm that the item has effectively and permanently altered for lawful and safe transport and sale or use in the oil industry.

3.3 Each Member, Advertiser hereby represents, warrants to drilling4oil.com that:

1. the details submitted by you are true and accurate in all material respects
2. there is no reason why a reputable advertising agency should decline to be associated with the advertising of your company or your products.
3. you are the owner of the product, machinery or equipments or have a written authorisation from the owner(s) to advertise the above mentioned.
4. Payment if applicable should be lodged with the relevant listing form.
5. Every advertisement is to comply with technical specifications, material requirements and other guidelines specified by drilling4oil.com.
   

3.4 drilling4oil.com reserves the right to amend or reject any listing order or advertisement which it considers unsuitable. All art work , creative materials are subject to our approval at our sole discretion. We will reject any images, artwork, and text or creative material that we believe to be inappropriate for the drilling4oil.com audience or any images, artwork, and text or creative material that does not satisfy our technical or art requirements. Should drilling4oil.com and the advertiser be unable to agree, the advertiser may cancel the advertisement and seek a full refund of the fee.

3.5 In the event that drilling4oil.com exercises its rights under Condition 3.4 above, it will refund to you any proportion of any fees paid in advance (so far as such fees relate to advertising after the cancellation date) on a pro rata basis but without further liability to you in respect of any direct or indirect losses whether by way of loss of profit, loss of bargain or otherwise.

3.6 Advertising orders cancelled after acceptance will be subject to a cancellation fee of 25%.

3.7 Each Member represents, warrants and agrees that with regards to information about or posted on behalf of any business referee, it has obtained all necessary consents, approvals and waivers from its business partners and associates to (a) act as such Member's business referee; (b) to post and publish their contact details and information, reference letters and comments on their behalf; and (c) that third parties may contact such business referees to support claims or statements made about the Member. Each Member further warrants that all reference letters and comments are true and accurate and hereby waives all requirements for such Member's consent to be obtained before third parties may contact the business referees.

3.8 Each Member, acknowledges and agrees that www.drilling4oil.com shall not be required to actively monitor nor exercise any editorial control whatsoever over the content of any message or other material or information created, obtained or accessible through the Service. www.drilling4oil.com does not endorse, verify or otherwise certify the contents of any comments or other material or information made by any Member. Each Member is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.

3.9 Each Member represents, warrants and agrees that it has obtained all necessary third party copyright or trademark licenses and permissions and shall be solely responsible for ensuring that any material or information it posts on the Site or provides to Www.drilling4oil.com or authorizes Www.drilling4oil.com to display does not violate the copyright, trademark, trade secret or any other personal or proprietary rights of any third party or is posted with the permission of the owner(s) of such rights.

3.10 If any Member breaches the representations, warranties and covenants of paragraphs 3.1, 3.2, 3.3, 3.4,3.5,3.6,3.7,3.8,3.9 above, or if Www.drilling4oil.com has reasonable grounds to believe that such Member is in breach of such representations, warranties and covenants, www.drilling4oil.com has the right to suspend or terminate the Service and all Member Benefits with respect to such Member without any compensation, and refuse any and all current or future use of the Service or any other services that may be provided by http://www.drilling4oil.com/. and Koudsi Consultancy Further, Www.drilling4oil.com reserves the right in it sole discretion to remove any material it reasonably believes that is unlawful, could subject www.drilling4oil.com to liability, violates this Agreement or the Www.drilling4oil.com Terms of Use or is otherwise found inappropriate in www.drilling4oil.com's opinion. www.drilling4oil.com reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, www.drilling4oil.com may disclose the Member's identity and contact information, if requested by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action, and Www.drilling4oil.com shall not be liable for damages or results thereof and Member agrees not to bring any action or claim against Www.drilling4oil.com for such disclosure. In connection with any of the foregoing, Www.drilling4oil.com may suspend or terminate the Account of any Member as Www.drilling4oil.com deems appropriate in its sole discretion.

3.11 Each Member agrees to indemnify www.drilling4oil.com, its employees, agents and representatives and to hold them harmless, from any and all losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from its submissions, posting of information or deletion thereof, from such Member's use of the Service or from such Member's breach of this Agreement or the www.drilling4oil.com Terms of Use. Each Member further agrees that www.drilling4oil.com is not responsible, and shall have no liability to it or anyone else for any material posted by such Member or third parties, including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such material rests entirely with each Member. Www.drilling4oil.com reserves the right; at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Member, in which event the Member shall cooperate with Www.drilling4oil.com in asserting any available defenses.

3.12 Joining drilling4oil.com  mailing list and newsletter is free, although you will remain responsible for the costs of accessing our Site and communicating with our users. We charge fees for listing company profiles and oil drilling equipment and oil industry related services advertisements  through our Site and when you list an item you have an opportunity to review and accept the fees that you will be charged. Our fees are described in our listing page which forms part of this User Agreement. We may change this policy at any time, and any change will be effective after the expiry of 14 days following the date of posting on the news page on the Site (or such later date as we may notify). However, we may choose to temporarily change our Fees and Credits Policy and the fees for our services for promotional events (for example, free listing days) and such changes are effective when we announce the temporary promotional event on the Site. For the avoidance of doubt, such promotional events shall not apply to any listings on our Site at the time of the announcement. We may in our sole discretion change some or all of our services at any time. In the event we introduce a new service, the fees for that service are effective at the launch of the service.

3.13 Unless otherwise stated, all fees are payable in Euro. value added tax and other taxes may apply to your transaction. Company profile and Rig store advertisers will be responsible for paying all fees associated with using our service and our Site and all applicable taxes. You agree that we may issue you with invoices in electronic format by email.

3.14 without limiting our other remedies, we may limit your activity on the Site, immediately issue a warning, suspend or terminate your user registration or any of your item listings and refuse to provide our services to you without notice to you: (a) if you breach this User Agreement or the documents incorporated by reference; (b) if, despite our reasonable endeavours, we are unable to verify or authenticate any information you provide to us; or (c) if we believe that your actions may cause us financial loss or legal liability.

4. Transactions between Buyers and Suppliers

4.1 Through the Site, Www.drilling4oil.com provides an electronic web-based platform for exchanging information between buyers and suppliers of products and services. Www.drilling4oil.com does not represent the seller nor the buyer in specific transactions and does not charge any commissions from completing any transactions. As a result, Www.drilling4oil.com does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Site or the ability of the suppliers to complete a sale or the ability of buyers to complete a purchase.

4.2 Drilling4oil.com .  it is important to realise that we are not a traditional auctioneer. Instead, the Site acts as a venue which allows registered users to offer, sell, and buy services, equipments which is legal and strictly related to oil drilling industry, at any time, from anywhere, in a variety of price formats. we are not involved in transactions between buyers and sellers. As a result, we have no control over the quality, safety or legality of the items listed, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to pay for items. Do not assume that the offer, sale, purchase, export or import of any item is valid and legal simply because it is listed on the Site. We are not responsible for ensuring that buyers and sellers actually complete a transaction. You accept sole responsibility for the legality of your actions under laws applying to you.

4.3 Members are hereby made aware that there may be risks of dealing with people acting under false pretences. Www.drilling4oil.com uses several techniques to verify the accuracy of the information our users provide us when they register on the Site. However, because user verification on the Internet is difficult, Www.drilling4oil.com cannot and does not confirm each user's purported identity. We encourage you to use the various services  available on the Site, as well as common sense, to evaluate with whom you are dealing.

4.4 Each Member acknowledges that it is fully assuming the risks of purchase and sale transactions when using the Site to conduct transactions, such risks shall include, but not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract and transportation accidents ("Transaction Risks"). Each Member agrees that Www.drilling4oil.com shall not be liable or responsible for any damages that may arise a result of or in connection with any Transaction Risks.

4.5 Members are solely responsible for all of the terms and conditions of the transactions conducted on, through or as a result of use of the Site, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.

4.6 In the event that any Member has a dispute with any party to a transaction, such Member agrees to release and indemnify Www.drilling4oil.com (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such transaction.

4.7drilling4oil.com and our users do not tolerate spam or unsolicited commercial communications. Therefore, without limiting the foregoing, you shall not add a drilling4oil.com employee or a drilling4oil.com user, even a user who has done business with you, to your mail list (email or physical mail) without their express written consent after adequate disclosure.

4.8 The Site contains robot exclusion headers. Much of the information on the Site is updated on a real time basis and is proprietary or is licensed to drilling4oil.com  by our users or third parties. You agree that you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) copy, reproduce, modify, create derivative works from, distribute or publicly display any content (except for Your Information) from the Site without the prior expressed written permission of drilling4oil.com and the appropriate third party, as applicable; (iii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or (iv) bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Site. We do not authorise you to extract or re-utilise substantial parts of our Site, or to make systematic and repeated extractions or re-utilisations of insubstantial parts of our Site.

5. Your Information

5.1 "Your Information" is defined as any information you provide to us or other users in relation to the drilling4oil service including the registration, listing or feedback process (including, without limitation, any description of items listed), your postings on the message boards and any other content that you post within the Site. You are solely responsible for Your Information, and we act as a mere conduit for your online distribution and publication of Your Information.

5.2 Your Information and your activities on our Site must not:

1. be false, inaccurate or misleading;
2. be offensive or menacing, abusive, defamatory, or in breach of copyright, confidence, privacy or any other rights;
3. infringe any third party's copyright, patent, trade mark, trade secret or other proprietary rights or rights of publicity or privacy;
4. be fraudulent or involve the sale of counterfeit or stolen items;
5. be in breach of any applicable laws or regulations (including, but not limited to, laws governing export control, consumer protection, unfair competition, anti-discrimination, false advertising);
6. be obscene, indecent or contain child pornography;
7. create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers;
8. link directly or indirectly to or include descriptions of goods or services that: (aa) are prohibited under this User Agreement; (bb) you do not have a right to link to or include;
9. contain any computer viruses, macro viruses, trojan horses, worms or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority or expropriate any system, data or personal information; cause the Site to be interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of the Site is in any way impaired.

5.3 You must not list any item on the rig store , company profile, and rig hands section (or complete any transaction initiated using the Site) that, by paying to us the listing fee could cause us to violate any applicable law .

5.4 To enable drilling4oil.com to use Your Information, you grant us a non-exclusive, world-wide, perpetual, irrevocable, royalty-free, sub licensable (through multiple tiers) licence to exercise the copyright, trade mark, publicity, and database rights you have in Your Information, in any media now known or not currently known. You also waive all moral rights you have in Your Information to the fullest extent permitted by law.

5.5 By accepting this User Agreement, you agree that, with respect to other users' personally identifiable information that you obtain through the Site or through a drilling4oil.com related communication, you may only use such information for: (a) drilling4oil.com -related communications that are not unsolicited commercial messages, (b) using services offered through drilling4oil.com (e.g. escrow, insurance, postal and fraud complaints), and (c) any other purpose that such user expressly agrees to after adequate disclosure of the purpose(s). In addition, you shall only use such information in accordance with applicable laws and regulations, including without limitation data protection and privacy laws. In all cases, you must give users an opportunity to remove themselves from your database and a chance to review what information you have collected about them. In addition, under no circumstances, except as defined in this Section, can you disclose personally identifiable information about another user to any third party without our consent and the consent of such other user after adequate disclosure. Note that law enforcement personnel, VeRO programme participants, and other rights holders are given different rights with respect to information they access.

6. Use of Discussion Boards on the Site

6.1 Www.drilling4oil.com provides its Members use of discussion boards on the Site free of charge to promote and encourage open, honest and respectful communication between all of our Members. The discussion boards on the Site shall not be used as a marketing platform by Members and Members shall not post any information relating to trade leads, promotion of their products or their company profile.

6.2 Each Member acknowledges that all data, text, software, music, sound, photographs, graphics, video, messages or other materials ("content"), whether publicly posted or privately transmitted through a discussion board on the Site, are the sole responsibility of such Member from whom the content originated. This means that the posting Member, and not Www.drilling4oil.com, is entirely responsible for all content that is uploaded or posted via our discussion boards on the Site. Www.drilling4oil.com does not control the content posted via discussion boards and therefore does not guarantee the accuracy, integrity or quality of such content.

6.3 Www.drilling4oil.com reserves the right to delete or edit any postings in its sole discretion without prior notice. Www.drilling4oil.com may monitor posting activities of any Member who is in breach of this Agreement and may restrict their ability to post messages on the discussion boards on the Site. Under no circumstances will Www.drilling4oil.com be liable in any way for any content, including (without limitation) any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of the discussion boards by such Member. Each Member agrees to evaluate and bear all risks associated with the use of any content including any reliance on its accuracy or completeness. Each Member understands that by using the Www.drilling4oil.com discussion boards on the Site, such Member may be exposed to content that is offensive, indecent or objectionable.

6.4 Without prejudice to each Member's responsibilities under Clause 3 of this Agreement, each Member agrees not to use the discussion boards on the Site to:

6.4.1 upload, post or e-mail any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

6.5 harm minors in any way;

6.6 impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity or disguise the origin of any content;

6.7 "stalk" or otherwise harass another;

6.8 collect or store personal data about other users;

6.9 upload, post or e-mail any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships;

6.10 upload, post or e-mail any content that infringes any intellectual property rights of any party;

6.11 upload, post or e-mail any unsolicited or unauthorised advertising, promotional materials, "junk mail", "spam", "chain letters", or any other form of solicitation;

6.12 upload, post or e-mail any content that contains computer viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment;

6.13 upload, post or e-mail any content that contains a complaint regarding Www.drilling4oil.com's services or refers to such a complaint on the Site or to any other Members; any such complaint must be directed to the customer service e-mail on the Site; or

6.14 violate any applicable national or internal laws or regulations.

6.15 Each Member acknowledges that www.drilling4oil.com does not pre-screen content but that Www.drilling4oil.com shall have the right (though not the obligation) in its sole discretion to move, modify or remove any content that is posted or uploaded on the discussion boards on the Site.

6.16 Each Member shall indemnify and hold Www.drilling4oil.com and its subsidiaries, affiliates, employees, officers, agents or partners harmless from and against any direct or indirect loss or damage (including consequential loss and loss of profits, goodwill or business opportunities arising from any third party claim in relation to any content such Member uploaded, posted or e-mailed on or through the discussion boards on the Site, such Member's use of the discussion boards on the Site, or such Member's breach of the provisions set out in Clause 5.4.

6.17 On being made aware of any such breaches, Www.drilling4oil.com may ban, delete or prohibit any content that relates to those breaches or that Www.drilling4oil.com in its sole discretion consider to be harmful to the public or the rights of Www.drilling4oil.com or any of its affiliates, licensors, partners or Members.

6.18 Www.drilling4oil.com reserves the right to take whatever action it deems necessary to prevent a Member's breach of Clause 5.4 including the following:

6.18.1 issue a warning letter to the relevant Member (where the breaches www.drilling4oil.com are deemed by Www.drilling4oil.com to be minor); or

6.18.2 ban the relevant Member from discussion boards on the Site (where the breaches are deemed by Www.drilling4oil.com to be major).
All incidents will be logged and www.drilling4oil.com's decision shall be final in all such cases.

6.19 All information and/or other content posted on the Site by the Www.drilling4oil.com service team or by Members or third party partners is supplied for information purposes only and shall not under any circumstances be construed as legal and/or business advice or a legal opinion. Members are encouraged to seek independent professional advice in such situations.

7. Limitation of Liability

7.1 THE FEATURES AND SERVICES ON THE WWW.DRILLING4OIL.COM SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WWW.DRILLING4OIL.COM HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, RELIABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, UNDERTAKINGS AND TERMS ARE HEREBY EXCLUDED.

7.2 WWW.DRILLING4OIL.COM MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE VALIDITY, ACCURACY, CORRECTNESS, RELIABILITY, QUALITY, STABILITY, COMPLETENESS OR CURRENTNESS OF ANY INFORMATION PROVIDED ON OR THROUGH THE SITE.

7.3 Each Member acknowledges that inability to use the Service wholly or partially for whatever reason may have adverse effects on its business. Each Member hereby agrees that in no event shall www.drilling4oil.com be liable to the Member or any third parties for any inability to use the Service (whether due to disruption, changes to or termination of the Service or otherwise), any delays, inaccuracies, errors or omissions with respect to any communications or transmission or delivery of all or any part thereof, or any damage (direct, indirect, consequential or otherwise) arising from the use of or inability to use the Service. Each Member further agrees that any claim against www.drilling4oil.com for pre-mature termination of the Service and loss of Member Benefits shall be limited to the amount of subscription fees paid by the Member that are allocated (on a pro-rata basis) to the unused portion of the subscription period.

7.4 In the event that you have any right, claim or action against any other user arising from that user's use of the Site, you agree to pursue such right, claim or action independently of and without recourse to us, and you release drilling4oil.com (and our parent, subsidiaries, affiliates, officers, directors, agents and employees) from all claims, liability, damages, losses, costs and expenses, including legal fees, known and unknown, arising from or in any way connected with such right, claim or action.

7.5 Any material downloaded or otherwise obtained through the Site is done at each Member's sole discretion and risk and each Member is solely responsible for any damage to its computer system or loss of data that may result from the download of any such material. No advice or information, whether oral or written, obtained by any Member from Www.drilling4oil.com or through or from the Site shall create any warranty not expressly stated herein.

7.6 Under no circumstances shall Www.drilling4oil.com be held liable for an delay or failure or disruption of the content or services delivered through the Site resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, Acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.

7.7 Each Member hereby agrees to indemnify and save Www.drilling4oil.com, its affiliates, directors, officers and employees harmless, from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from such Member's use of the Site (including but not limited to the display of such Member's information on the Site) or from its breach of any of the terms and conditions of this Agreement. Each Member further agrees that Www.drilling4oil.com is not responsible and shall have no liability to it, for any material posted by others, including defamatory, offensive or illicit material and that the risk of damages from such material rests entirely with each Member. Www.drilling4oil.com reserves the right; at it own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Www.drilling4oil.com in asserting any available defences.

7.8 Www.drilling4oil.com shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort, strict liability or otherwise or any other damages resulting from any of the following:

1. the use or the inability to use the Site;
2. any defect in goods, samples, data, information or services purchased or obtained from a Member or a third-party service provider through the Site;
3. unauthorized access by third parties to data or private information of any Member; statements or conduct of any Member of the Site; or any matters relating to Paid Services however arising, including negligence.

7.9 "While care will be taken to ensure the insertion of advertisement, company profile, or a curriculum vitae, or an advertisement in accordance with instructions, no liability will be accepted by the drilling4oil.com owner, agents or employees for any loss occasioned by omission, alteration or misplacement."

7.10 We use many techniques to verify the accuracy of the information our members provide to us when they register on the Site. However, because user verification on the Internet is difficult, drilling4oil.com cannot and does not confirm the purported identity of users or the validity of the information which users post to the Site

7.11 We (and our parent, subsidiaries, affiliates, officers, directors, agents and employees) do not guarantee continuous, uninterrupted or secure access to our services, and operation of the Site may be interfered with by numerous factors outside of our control. Our website and our services are provided "as is" and as and when available, and to the extent permissible by law we exclude all implied warranties, conditions or other terms, whether implied by statute or otherwise, including without limitation any terms as to skill and care or timeliness of performance. Some jurisdictions do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.

7.12 Nothing in this User Agreement shall limit or exclude our liability for fraudulent misrepresentation, or for death or personal injury resulting from our negligence or the negligence of our, agents or employees. Subject to the foregoing, we (including our parent, subsidiaries, affiliates, officers, directors, agents and employees) will not be liable for any economic losses (including, without limitation, loss of revenues, profits, contracts, business or anticipated savings), any loss of goodwill or reputation, or any special, indirect or consequential damages (however arising, including negligence) arising out of or in connection with this User Agreement. Some jurisdictions do not allow the exclusion of incidental or consequential damages, so the above exclusion may not apply to you. We (including our parent, subsidiaries, affiliates, officers, directors, agents and employees) also have no liability of any sort (including liability for negligence) for the acts or omissions of other providers of telecommunications services or for faults in or failures of their networks and equipment.

7.13 Our liability to you or any third party, and the liability of our parent, subsidiaries, affiliates, officers, directors, agents and employees, in any circumstance is limited to the greater of (a) the total fees you have paid to us in relation to the listing or other service offered giving rise to liability, and (b) € 100.

7.14 You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of this User Agreement (including the documents incorporated by reference), or your violation of any law or the rights of a third party.

7.15 Unless otherwise explicitly stated, notices to drilling4oil.com must be sent by registered mail to drilling4oil.com, attention NL Legal, Vrouwe Udasingel 249 6663 GT Lent The Netherlands,and notices to you will be sent to the email address that you provide to drilling4oil.com during the registration process (receipt is deemed 24 hours after an email is sent, unless we receive notice that the email address is invalid), or by registered mail.

7.16 If any provision of this User Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall be enforceable. You agree that this User Agreement and all incorporated agreements may be automatically assigned by drilling4oil.com, in our sole discretion, to a third party in the event of a merger or acquisition or any other event. You and drilling4oil.com are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this User Agreement. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This User Agreement sets forth the entire understanding and agreement between us with respect to its subject matter. No oral explanation or oral information given by any party shall alter the interpretation of this User Agreement.

8. Intellectual Property Rights

8.1 Each Member grants to Www.drilling4oil.com a perpetual, world-wide, royalty-free irrevocable, non-exclusive licence (including the right to sub-license through multiple tiers) to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any content (in whole or part) such Member uploaded, posted or e-mailed and/or to incorporate such content in other works in any form, media or technology now known or developed.

8.2 Www.drilling4oil.com is the sole owner or lawful licensee of all the rights to the Site and the Www.drilling4oil.com Content. The Site and Www.drilling4oil.com Content embody trade secrets and intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the Site and Www.drilling4oil.com Content shall remain with Www.drilling4oil.com, its affiliates or licensors of the Www.drilling4oil.com Content, as the case may be. All rights not otherwise claimed under this Agreement or by Www.drilling4oil.com are hereby reserved.

8. 3 member,  advertiser is responsible for ensuring that all material (including without limitation all images, designs, photographs, drawings, sound recordings, moving pictures and videos) supplied to drilling4oil.com for inclusion on the site or in the printed and  non printed media or  e-Newsletter does not infringe the Intellectual Property Rights of any corporate, organization , nation , community or individual." 
 "Intellectual Property Right" means any and all intellectual property rights throughout the world including without limitation rights in respect of or in connection with:

1. any confidential information;
2. copyright (including future copyright and rights in the nature of or analogous to copyright);
3. moral rights (including rights of integrity, rights of attribution and other rights of an analogous nature which may now exist or which may exist in the future);
4. performers protection;
5. inventions (including patents);
6. trademarks, service marks; and
7. designs, circuit layouts, whether or not now existing and whether or not registered or registrable and includes any right to apply for the registration of such rights and includes all renewals and extensions."

8.4 Advertisers or advertising agencies upon and by lodging material to drilling4oil.com or authorising or approving of the electronic publication of any material will:

1. indemnify drilling4oil.com  and each of their agents and employees against all liability claims or proceedings whatsoever arising from the publication and without limiting the generality of the foregoing to indemnify each of them in relation to defamation, slander of title, breach of copyright, infringement of trademarks, unfair competition or trade practices, or royalties or violation of rights of privacy; and will
   
2. warrant that the material complies with all laws and regulations (including without limitation the laws and regulations of any country where the material is distributed electronically) and that its publication will not give rise to any rights against or liabilities to the drillin4oil.com and each of their, agents and employees and in particular that nothing therein is capable of being misleading or deceptiving .

8.5 "WWW.DRILLING4OIL.COM", "WWW.DRILLING4OIL.COM," "TRUSTPASS" and related icons and logos are registered trademarks or trademarks or service marks of Www.drilling4oil.com Corporation in various jurisdictions and are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.

9. General

9.1 Subject to any additional agreements relating to Paid Services, this Agreement and the Privacy Policy constitute the entire agreement between the Member and Www.drilling4oil.com with respect to access to and use of the Site, superseding any prior written or oral agreements in relation to the same subject matter herein.

9.2 Www.drilling4oil.com and the Member are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

9.3 If any provision herein is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

9.4 Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

9.5 Www.drilling4oil.com's failure to enforce any right or failure to act with respect to any breach by a Member under these terms and conditions will not waive that right nor waives Www.drilling4oil.com's right to act with respect with subsequent or similar breaches.

9.6 Www.drilling4oil.com shall have the right to assign its obligations and duties in this Agreement and in any agreement relating to Paid Services to any person or entity.

9.7 This Agreement shall be governed by the laws of the Netherlands without regard to its conflict of law provisions. The parties to this Agreement hereby submit to the exclusive jurisdiction of the courts of the Netherlands.
